These terms and conditions apply to all sales and deliveries from UNION OILTECH ApS (“Seller”) to business customers (“Buyer”), unless otherwise agreed in writing.

2. Prices

All prices are stated exclusive of VAT and other applicable taxes and fees.
Prices may be adjusted without prior notice. Orders are invoiced at the prices applicable at the time of order confirmation.

3. Payment Terms

Payment terms are as agreed in the order confirmation. Unless otherwise agreed, payment is due within 14 days from the invoice date.

In case of late payment, interest will be charged in accordance with the Danish Interest Act (Renteloven). The Seller reserves the right to suspend deliveries in case of overdue payment.

4. Retention of Title

All goods remain the property of UNION OILTECH ApS until full payment has been received.

5. Delivery

Delivery is made to the address specified by the Buyer.
Unless otherwise agreed, delivery times are indicative and not binding.

Risk passes to the Buyer upon delivery.

6. Orders and Cancellation

All orders are binding once confirmed by the Seller.
Cancellation or changes to orders require prior written approval from UNION OILTECH ApS.

7. Returns

Returns are only accepted upon prior written agreement.
Approved returns must be shipped at the Buyer’s expense and risk, unless otherwise agreed.

Goods must be returned in original condition and packaging.

8. Complaints and Defects

The Buyer must inspect the goods upon delivery.

Any complaints must be submitted in writing without undue delay and no later than 7 days after the defect has been discovered or should have been discovered.

Failure to notify within this period may result in the loss of the right to claim.

9. Warranty

UNION OILTECH ApS provides a 12-month limited warranty from the date of delivery, unless otherwise agreed.

The warranty covers documented manufacturing defects only and does not cover:

    • Normal wear and tear
    • Improper use or handling
    • Unauthorized modifications

The Seller’s obligation is limited to repair, replacement, or credit at its discretion.

10. Limitation of Liability

UNION OILTECH ApS shall not be liable for indirect or consequential losses, including but not limited to:

    • Loss of profit
    • Loss of production
    • Loss of business opportunities

The Seller’s total liability shall in all cases be limited to the value of the delivered goods.

11. Force Majeure

The Seller shall not be held liable for failure to perform obligations due to circumstances beyond its control, including but not limited to:

    • Natural disasters
    • War
    • Strikes
    • Supply chain disruptions

12. Privacy Policy

Personal data is processed only to fulfill orders and manage customer relationships.

Data is handled in accordance with applicable data protection laws. For further information, please refer to our Privacy Policy.

13. Governing Law and Jurisdiction

These terms and conditions are governed by Danish law.

Any disputes arising between the parties shall be settled by the Danish courts, with jurisdiction at the Seller’s place of business.
